The Non-Profit Enterprise Practice Group of Earp Cohn P.C.. represents and counsels entities that are exempt from taxation under the U.S. Internal Revenue Code.
Non-profit exempt organizations can include a wide range of entities including large private foundations, public charities, health care organizations, schools and universities, charitable trusts, civic-welfare and/or charitable organizations, community organizations, industry organizations, sports leagues, family foundations, and so on.
Attorneys in the firm's group work with both small and large non-profit entities, some of which specifically include health care organizations and community development corporations.
The business needs of exempt organizations is very specific and unique and requires the knowledge of seasoned lawyers working in this area of expertise. Depending upon the assignment, the work often requires drawing on the expertise of other lawyers within the firm since there are many complex issues that can arise including those related to personal or corporate planning, tax, corporate law, intellectual property, litigation, health care, ERISA, labor and real estate and so on.
The firm has successfully represented non-profit clients from the initial stages of start-up to ongoing representation. These various stages can include helping these entities form and obtain IRS 501C(3) designations as tax-exempt organizations to providing legal advice on an ongoing basis. General corporate operation issues arise that require unique methods of handling for non-profits including those related to governance structuring, benefits, fundraising, investments, copyright/trademark matters, financial, tax and real estate & leasing matters, personnel issues, contracts with vendors and others, D&O insurance, licensing, asset protection, fiduciary obligations, and so on. When conducting business, non-profit entities face the same issues as corporate businesses but with very different rules that apply to their operation.
